TNDC Board of Directors – Invitation for Expressions of Interest (2026)
Issued: December 30, 2025
is inviting expressions of interest from qualified Tahltan Members and Tahltan Associates who wish to be considered for appointment to the TNDC Board of Directors. TNDC is seeking to fill two Director positions.
About TNDC
TNDC is the business arm of the Tahltan Nation. Guided by Tahltan values and modern governance practices, TNDC’s mandate is to operate profitable, well-governed businesses that create long-term economic, social, and cultural benefits for Tahltan people—today and for future generations.
TNDC’s Strategic Plan is grounded in the principle of Build Trust, Build Futures, with a focus on:
- Strong governance and fiduciary oversight
- Financial sustainability and disciplined risk management
- Responsible development that balances environmental, social, and economic outcomes
- Building organizational capacity to support Nation-building at scale
- Applicants do not need to live in Tahltan Territory or nearby to be considered.
Time Commitment
Directors must be able to commit to:
- Full-day quarterly Board meetings, approximately six times per year
- Evening and half-day special meetings, approximately once per month
- Board meeting package review, approximately half a day for each quarterly meeting
Meeting Location
Meetings are held in person twice per year, typically January in Vancouver and July in Dease Lake, and virtually via Microsoft Teams throughout the year.
Renumeration
Directors are compensated for time spent attending Board meetings, reviewing materials, participating in committee work, and approved travel. Remuneration is paid through honoraria as established in the Terms of Reference and Governance Manual.

Serving as a Director of TNDC is an opportunity to contribute at the governance and strategic level to the long-term success of the Nation’s businesses. Directors provide stewardship, oversight, and strategic direction while maintaining appropriate separation between governance and management.
TNDC is seeking individuals who bring sound judgment, integrity, independence of thought, and a commitment to Tahltan values, along with professional experience that strengthens the Board as a whole.
Desired Experience & Director Competencies
In alignment with the ICD.D Director Competency Framework, TNDC is seeking candidates with demonstrated strength in one or more of the following areas:
Governance & Leadership • Board governance and fiduciary oversight • Strategic thinking and long-term decision-making • Ethical leadership and accountability | Financial & Risk Oversight • Accounting, finance, audit, or capital stewardship • Financial literacy and risk management • Oversight of complex or capital-intensive organizations |
Industry & Technical Experience • Mining and exploration • Heavy construction, infrastructure, and project delivery • Industrial health & safety • Forestry, reclamation, environment, or land stewardship | People, Culture & Community • Human resources or organizational leadership • Understanding of Tahltan culture, history, and community priorities • Ability to balance commercial performance with Nation-building objectives |
The Board seeks a balanced mix of skills, lived experience, and perspectives to effectively discharge its fiduciary duties.
Board Composition & Terms
- The TNDC Board consists of seven (7) Directors, including a Chair and Vice-Chair.
- Directors serve two-year terms and may be reappointed at the discretion of the Shareholders.
Eligibility & Appointment Process
- All TNDC Directors must be Tahltan or a Tahltan Associate.
- Individuals who are elected or appointed to a Tahltan political body are not eligible to serve as TNDC Directors.
- The Shareholders make the final decision on all Board appointments.
- Only individuals who submit an Expression of Interest will be considered.
The Shareholders have directed TNDC to coordinate the collection of EOIs.
Frequently Asked Questions
Do you have to live in Telegraph Creek or nearby to apply?
There are no geographic restrictions. Applicants may live anywhere.
How much time does the role take if you are already fully employed?
The Board meets approximately six times per year for full-day quarterly meetings. In addition, there are evening or half-day special meetings held roughly once per month. Directors should also plan for approximately half a day of preparation time to review Board materials in advance of each quarterly meeting.
How many Directors are on the Board?
The Board is comprised of seven Directors.
If travel is involved, how often does the Board meet in person?
The Board aims to meet in person one to two times per year. One in-person meeting is typically held in Vancouver in January, with a second meeting usually held in Dease Lake during the Annual General Assembly. All other meetings are conducted virtually via Microsoft Teams.
Is there remuneration?
Yes. Time spent on Board meetings, preparation and reading of materials, committee work, and approved travel is compensated through honoraria, as set out in the Terms of Reference and Governance Manual.
